Terms of service

These terms govern your use of this website and our enquiry assistant. Paid work is governed by a separate signed agreement, not by these terms.

1. Who these terms are with

These terms are between you and Digital Soule LLC, a free zone limited liability company registered in Sharjah Media City, United Arab Emirates, licence number 2648445.01, registered at Shams Business Center, Sharjah Media City Free Zone, Al Messaned, Sharjah, UAE.

2. What these terms cover

These terms govern your use of thedigitalsoule.com, its subdomains, our enquiry assistant, and our meeting booking facility.

They do not govern paid engagements. Any paid work is subject to a separate written agreement — a Statement of Work or Master Services Agreement — signed by both parties. Where that agreement conflicts with these terms, that agreement prevails for that engagement.

By using the site you accept these terms. If you do not accept them, do not use the site.

3. What we do

Digital Soule designs, builds and operates software and automation for business operations. Our licensed activities include computer programming, computer consultancy, information technology consultancy, data processing and hosting, and advertising and digital marketing.

We serve businesses. We do not provide services to consumers.

4. Enquiries are not offers

When you submit an enquiry, our system may generate an indicative summary and a suggested direction, which a member of our team reviews before sending to you.

Nothing we send you in response to an enquiry is a binding offer. Indicative figures, ranges, timelines and service suggestions are estimates based only on the limited information in your enquiry. They are not quotations and they do not create a contract.

A price becomes firm only when it is set out in a signed Statement of Work, after a discovery or mapping session in which requirements are confirmed.

5. Your responsibilities

When you use the site or submit an enquiry, you agree that:

• The information you give us is accurate and you are authorised to give it
• You will not submit anyone else's personal data without their knowledge
• You will not use the site to transmit unlawful, harmful or infringing material
• You will not attempt to gain unauthorised access to any part of our systems, probe or scan them, or interfere with their operation
• You will not use automated means to submit enquiries or scrape the site
• You will not use the site or its content to build or train a competing service

6. Availability

We aim to keep the site and enquiry assistant available, but we do not guarantee uninterrupted access. We may suspend, withdraw or change any part of the site without notice, and we are not liable to you for doing so.

Third-party services we rely on may themselves be unavailable. Where that prevents an enquiry reaching us, we will not know it was sent — if you do not hear from us within two business days, please email us directly.

7. Intellectual property

All content on the site — text, design, graphics, code, methodology, and the Digital Soule and Soule Ops names and marks — belongs to Digital Soule LLC or its licensors.

You may view and print pages for your own business evaluation. You may not reproduce, republish, distribute or commercially exploit any part of the site without our written permission.

Where we deliver work under a signed engagement, ownership of deliverables is governed by that agreement, not by these terms.

8. No professional advice

Content on this site, and any indicative analysis produced by our enquiry assistant, is general information about operations and technology. It is not legal, financial, tax or regulatory advice, and it does not take account of your specific circumstances. Do not act on it without appropriate professional advice.

9. Limitation of liability

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.

Subject to that:

• We provide the site and the enquiry assistant "as is", without warranties of any kind, express or implied, including as to accuracy, fitness for a particular purpose, or uninterrupted availability
• We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, data or anticipated savings, however arising
• Our total aggregate liability arising out of or in connection with your use of the site is limited to AED 1,000

Liability arising from a paid engagement is governed by the limitation of liability clause in the relevant signed agreement, not by this section.

10. Indemnity

You agree to indemnify us against claims, losses and costs arising from your breach of these terms, your misuse of the site, or your submission of another person's data without authorisation.

11. Third-party links

The site may link to third-party sites. We do not control them and are not responsible for their content, availability or privacy practices. A link is not an endorsement.

12. Privacy

Our handling of personal data is set out in our privacy policy, which forms part of these terms.

13. Changes

We may change these terms. The date at the top will change. Continuing to use the site after a change means you accept the revised terms. Terms in force at the time you submitted an enquiry govern that enquiry.

14. Severability and waiver

If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it.

15. Governing law and jurisdiction

These terms are governed by the laws of the Emirate of Sharjah and the applicable federal laws of the United Arab Emirates. The courts of the Emirate of Sharjah have exclusive jurisdiction over any dispute arising out of or in connection with them.
